Absence of Relationship

The sole relationship between GMRgold and you is that of buyer-seller. No other relationship, including and without limitation: agent-principal, employee-employer, franchisee-franchisor, any joint venture or any partnership between GMRgold and you exists or will be acknowledged.

Assignment

Under this User Agreement, you may not assign any of your rights or obligations without the prior written consent of GMRgold, which may be granted or withheld by GMRgold in its sole discretion. This contract, including but not limited to the User Agreement, shall be binding on all permitted assigns and successors of you and GMRgold.

Confidentiality

You should exercise caution about disclosing the existence and terms of any of your transactions with GMRgold, and should carefully consider any disclosure of such information that you make to third parties.

Dispute Resolution

Forum Selection and Governing Law

The federal and state courts located in Montgomery County, Texas shall have exclusive jurisdiction of all actions arising out of or relating to the transactions between you and GMRgold, including but not limited to the User Agreement. All such disagreements and disputes shall be resolved exclusively in federal and state courts, as appropriate, in that jurisdiction. You hereby consent to personal jurisdiction and venue in those federal and state courts for resolving any disagreements or disputes between us and waive all objections to the jurisdiction of such federal and state courts. Any action arising out of or relating to the User Agreement shall be governed by, and interpreted in accordance with the laws of the State of Texas, without regard to conflict of laws or principles.

Waiver of Jury Trial; Arbitration

Both GMRgold and you hereby waive the right to trial by jury about any dispute arising out of or relating to the User Agreement and the transactions between them.

Force Majeure

If GMRgold cannot perform any obligation hereunder because of any event that is beyond its control, GMRgold’s delay or failure to perform such obligation shall be excused and GMRgold shall not be liable for any damages because of, or about, such delay or such failure.

Possible System Failure

Order entry systems have been designed to provide an efficient and dependable method for entering orders. Commercial internet service providers are not 100% reliable and a failure by one or more of these providers may affect internet based order entry. The customer acknowledges that the order entry system is a mechanical system and as such may be subject to failure beyond the control of GMRgold.
